Terms of Service

These Terms of Service (the "Terms") govern the use of Ziricote (the "Service"), provided by Appius S.r.l., with registered office at Via P.ssa Iolanda 21, 07100 Sassari (SS), VAT number and Tax Code 03898560366 (the "Provider"). By registering or using the Service you accept these Terms.
1. Subject matter of the Service
Ziricote is a tool for the study of musical improvisation. The Service allows you to:
(a) access a public catalog of chord charts (harmonic progressions) for jazz songs and standards, generated and curated by the community of users;
(b) play over such charts an instrumental accompaniment automatically generated by the Service (bass, piano, drums) in different keys, tempos and styles;
(c) create, for personal use, your own scores (themes and melodies), as governed by art. 3-bis.
The public catalog contains exclusively chords (harmonic progressions), without melodies or lyrics.
2. Account
- Registration requires a valid e‑mail, a name and a password.
- You must be at least 18 years old to register.
- You are responsible for the confidentiality of your credentials and for the activities carried out with your account. Promptly report any unauthorized use.
- The data provided must be truthful and up to date.
3. Community content — chord charts
- The chord charts entered into the public catalog are user-generated content and shared with the community: other users may consult, use and import them into the app.
- The content you create remains your property. By entering a chart into the public catalog you grant the Provider and other users a non-exclusive, royalty-free and worldwide license to host, display, reproduce, distribute and use it within the Service and the app, in order to provide the shared catalog features.
- In the public catalog, only chords may be entered: it is prohibited to publish lyrics, melodies, scores or other material protected by third-party copyright therein.
- You warrant that you have the right to enter the content you publish and that it does not infringe third-party rights. Simple chord progressions do not, as a rule, constitute independently protected works; the verification of the lawfulness of what you publish remains your responsibility.
- The Provider does not carry out systematic prior review of community content and acts in accordance with the reporting procedure set out in art. 3-ter.
3-bis. Scores and melodies — personal use
- The function for creating scores and melodies (musical themes) is intended exclusively for the user's personal use.
- The scores created by the user are stored on the Provider's servers for the sole purpose of enabling their retention, synchronization across the user's devices, and export. They remain private: they are not entered into the public catalog, are not made accessible nor distributed to other users, and are not published by the Provider.
- The user may at any time export their own scores (also in an open format) and remains solely responsible for any subsequent use, dissemination or sharing of the files outside the Service.
- When saving a score, the user is required to expressly accept a declaration attesting the following points; without such acceptance the score cannot be saved.
- By creating or saving a score or a melody, the user declares and warrants that: (a) they are its author, as their own original creation, or in any event they hold the necessary rights to it; (b) its transcription does not infringe copyright or other third-party rights; (c) they use it for personal purposes; (d) they assume full and exclusive responsibility for the score and for any dissemination or sharing of it outside the Service, indemnifying and holding harmless the Provider from any claim, demand or damage of third parties.
- It is prohibited to create or upload scores or melodies protected by third-party copyright.
- The Provider stores users' scores in private form in order to provide the functions described above, does not publish or distribute them and is not responsible for their content. Should it become aware of unlawful material, it may remove it in accordance with art. 3-ter.
3-ter. Reporting of unlawful content (notice-and-takedown)
- Anyone who believes that content present in the Service infringes their rights (including copyright) may send a report to info@ziricoteapp.com, indicating: the disputed content and its location, the right alleged to have been infringed, their own contact details, and a good-faith statement.
- Upon receiving a proper report, the Provider will assess and, where appropriate, promptly remove or disable access to the content, and may inform the user who entered it.
- The Provider may suspend or close the account of users responsible for repeated infringements.
4. User conduct
The following is prohibited, by way of example:
- uploading unlawful, offensive content, or content that infringes the rights of others (including protected lyrics/melodies);
- attempting to gain unauthorized access to the systems or data of other users;
- using the Service for fraudulent activities, spam or overloading of the systems (mass scraping, attacks, etc.);
- circumventing security measures or technical limits.
5. Reactions and interactions
The "like"/"dislike" and similar functions must be used in an authentic manner. It is prohibited to artificially manipulate the counts (e.g. multiple accounts, bots).
6. Intellectual property of the Service
The software, the trademark, the graphics and the content of the Service (excluding user content) are the property of the Provider or its licensors and are protected by applicable laws.
7. Availability and "as is"
The Service is provided "as is" and "as available", without guarantees of continuity, absence of errors or fitness for specific purposes. The Provider may modify, suspend or discontinue the Service in whole or in part, even without notice.
8. Limitation of liability
To the maximum extent permitted by law, the Provider is not liable for indirect, incidental or consequential damages arising from the use of or the inability to use the Service. Liabilities that cannot be excluded by law towards consumers remain unaffected.
9. Suspension and termination
The Provider may suspend or close accounts that violate the Terms. You may delete your account at any time; deletion entails the removal or anonymization of the data as described in the Privacy Policy.
10. Changes to the Terms
The Terms may be updated. Material changes will be communicated through the Service. Continued use after the update constitutes acceptance of the new Terms.
11. Governing law and jurisdiction
These Terms are governed by Italian law. For disputes, the court of Sassari has jurisdiction; for consumers, the mandatory jurisdiction of their place of residence/domicile remains unaffected.
